Dickies for Business Terms and Conditions

Program Overview

In the Dickies For Business Program (“Program”), certain business entities qualify to receive discounts on purchases of Dickies merchandise and other benefits offered by Dickies, a division of VF Outdoor, LLC (“Dickies”) from time to time.


NO MEMBERSHIP FEE OR PAYMENT OF ANY KIND TO DICKIES IS REQUIRED TO REGISTER FOR THE PROGRAM.

Membership - Who can Join?

(a) Eligibility: The Program is open only to qualifying business entities that are located and doing business in the United States which are in good standing. Qualifying business entities EXCLUDES any business entity which is a part of Workwear Outfitters® including the following brands: Red Kap®, Bulwark®, Workrite® Fire Service, Horace Small®, Kodiak®, Terra®, Work Authority®, Walls®, Liberty ®, Image Authority® and Chef Designs.


The Program is only open to business entities and is NOT intended for personal use by any individual. If you are a member of the general public (that is, not a qualifying business entity), do not attempt to participate in the Program as it is not intended for you.


(b) How to Join:
 An authorized representative** or owner of a qualifying business entity (who must be at least 18 years of age [or the age of the majority, whichever is higher]) signs up the business entity at www.dickies.com (“Dickies Website”).


**Authorized representative is an individual who holds a position of requisite authority to bind the business entity for the purposes of the Program and these Terms. For clarity, in all cases, an authorized representative/owner is acting on behalf of the corresponding business entity in conjunction with the Program. To create a Dickies For Business Account (or “Account”), authorized representative/owner provides the following information:

• First and last name of authorized representative or owner;

• Business email address of authorized representative/owner;

• Business phone number of authorized representative/owner.


Then, authorized representative/owner must check the designated box indicating their acceptance of and agreement to these Terms. IF THIS BOX IS NOT CHECKED, A DICKIES FOR BUSINESS ACCOUNT CANNOT BE CREATED.


Authorized representative/owner may be required to create a username and/or password in conjunction with creation of Dickies for Business Account. Usernames may be approved or rejected by Dickies in its sole discretion; Without limitation, usernames deemed by Dickies to be offensive or inappropriate will be rejected.


Dickies may, in its sole discretion, refuse to accept any application for the Program from a given qualifying business entity, with Dickies having no liability for the same under any legal theory. For clarity, even if a given business entity is eligible as per these Terms, such eligibility does not guarantee the admission of such business entity into the Program. If a business entity is not admitted to the Program, Dickies is not required to provide any explanation of any kind for such decision.


(c) Restrictions on Membership.
 If the business entity chooses to have multiple authorized representatives have access to the Program for the business entity, each authorized business entity representative must create their own unique profile for the Program. Representatives should not share their Dickies for Business Account login credentials with any other individual inside or outside of the business entity.


(d) Account Information/Security.
 It is the sole responsibility of authorized representative/owner to (i) assure that the business entity's Dickies For Business Account information is current and otherwise accurate at all times and (ii) safeguard the security of the business entity's username and password for its Dickies For Business Account. To update a business entity representative's Program Account information (including changing username and/or password), follow the instructions on the Dickies Website. Update requests will only be honored by Dickies in its sole discretion after verification of user's identity and/or authorization from applicable business entity, as applicable. It is the sole responsibility of an authorized representative/owner to immediately inform Dickies of any suspected unauthorized activity to the business entity's Dickies For Business Account (including but not limited to if a business entity's username and/or password for its Dickies For Business Account has been compromised) as directed on the Dickies Website.


3. Discounts.
 Discounts will be subject to rules including but not limited to restrictions on participating Dickies merchandise on which the discount offer is valid; the time period during which the discount offer is valid; Maximum savings available to a given business entity via a given discount offer and/or over a particular period of time; Provision of proof of qualifying purchase for business entity to claim discount offer. Dickies reserves the right to limit discounts to some but not all business entities which have a Dickies For Business Account including but not limited to based on business entity's geographic location, purchase history and/or other factors.


4. Other Benefits.
 Other benefits may be offered by Dickies from time to time and may be provided to some but not all business entities with a Dickies For Business Account. By way of example only, other benefits could perhaps include gifts, dedicated customer service representatives, early information about [and early access to] new Dickies merchandise and/or access to special sales of Dickies merchandise. Such other benefits will be subject to rules which may include, depending on the benefit in question: the benefit being offered only in limited quantities (ie, “while supplies last”) and/or limited times; the business entity being responsible for any costs/expenses incurred in accepting and using the benefit and any applicable taxes resulting from such use; the benefit not being redeemable for cash; and/or the benefit not being replaced if lost or stolen.


5. Email and Mobile.
 By registering for the Program, authorized representative/owner agrees to the applicable business entity's receipt of transactional and recurring marketing emails regarding the Program and general marketing and promotional emails about Dickies from Dickies. These may include information about the Program, discounts and benefits, Program updates, and other related materials, including promotional email offers and updates about Dickies, at the sole discretion of Dickies. Authorized representative/owner can adjust the types of emails received about the Program in the business entity's Dickies For Business Account. Business entity may not unsubscribe from transactional emails regarding the Program; If the business entity does not wish to receive transactional emails, the business entity's sole recourse is to cancel its membership in the Program with loss of unused discounts and unused benefits as described below. Business entity may be unsubscribed from Dickies promotional emails at any time via the unsubscribe link in those emails without affecting its participation in the Program.


Certain Services within the Program are, or may be available through, a mobile device. The user's wireless carrier message and data rates may apply. Authorized representative/owner is advised to consult the service agreement with their wireless carrier to determine their mobile device's pricing plan. Services in the Program may not be compatible with all mobile devices and Dickies disclaims any and all liability in conjunction therewith.

SMS Terms and Conditions for Dickies

Please read these terms and conditions carefully. By providing your telephone number(s) and confirming your acceptance of SMS/text messages from Dickies, through electronic and/or digital means, you expressly consent to receive recurring non-marketing and marketing text messages from Dickies, a division of VF Outdoor, LLC, and others texting on behalf of Dickies, including text messages made with an automatic telephone dialing system, at the telephone number(s) that you provide. Your consent is not required to purchase any goods or services. You may opt out of these communications at any time. Message and data rates may apply. Message frequency varies.


You also accept and agree to be bound by these SMS Terms and Conditions, our Terms of Use, our Privacy Policy, and any other applicable terms and agreements related to your use of Dickies services. THESE TERMS AND CONDITIONS ARE SUBJECT TO AN ARBITRATION CLAUSE, FOUND IN HERE IN THE DICKIES WEBSITE TERMS OF USE, SPECIFICALLY, THE SECTION ENTITLED “DISPUTES AND ARBITRATION AGREEMENT,” WHICH AFFECTS HOW DISPUTES ARE RESOLVED.


Program Description.


Dickies and its service providers may use an automatic telephone dialing system to deliver text messages to you. Dickies text messages are intended to provide you with information about Dickies goods and services, including exclusive limited-time offers


Cost


Message and data rates may apply to each text message sent or received in connection with Dickies text messages as provided in your mobile telephone service rate plan, in addition to any applicable roaming charges. Please contact your mobile phone carrier for pricing plans. Dickies does not impose a separate fee for sending Dickies text messages.


How to Opt In


You can subscribe to Dickies mobile alerts program by texting WORK to 72383 or online at https://www.dickies.com/login. To opt in to receive text messages from Dickies, please follow the instructions provided when you enroll.


How to Opt Out


To stop receiving text messages from Dickies, use the mobile phone corresponding to the number enrolled in Dickies text messages and reply “STOP” in response to a text message from the Dickies text messaging program or text “STOP” to 7238. You will then receive Confirmation of your opt-out. This will only opt you out of the specific text messaging program associated with that phone number or five-digit short code, and you will remain opted into any other text messaging programs where you have enrolled.


Your Mobile Telephone Number


You represent that you are the account holder for the mobile telephone number(s) that you provide. You are responsible for notifying Dickies immediately if you change your mobile telephone number. You may notify Dickies of a number change via the “Contact Us” page on its website.


You agree to indemnify Dickies in full for all claims, expenses, and damages related to or caused in whole or in part by your failure to notify Dickies if you change your telephone number, including but not limited to all claims, expenses, and damages related to or arising under the Telephone Consumer Protection Act and state telemarketing laws.


Carriers


We are able to deliver messages to the following mobile phone carriers: AT&T, Sprint, T-Mobile, Cellular One/Dobson, Virgin, Verizon Wireless, and Boost.


***Carriers are not liable for delayed or undelivered messages*** Dickies may add or delete carriers at any time, without notice.


Access or Delivery to Mobile Network Is Not Guaranteed


Delivery of information and content to a mobile device may fail due to a variety of circumstances or conditions. You understand and acknowledge that network services, including but not limited to mobile network services, are outside the control of Dickies, and Dickies is not responsible or liable for issues arising from them.

For help or support, reply “HELP” in response to a text message from the Dickies text messaging program or text “HELP” to 72383. You may also receive help via the “Contact Us” page on the Dickies website.


Eligibility


To receive Dickies text messages, you must be a resident of the United States and 18 years of age or older. Dickies reserves the right to require you to prove that you are at least 18 years of age.


Changes to Terms and Conditions


Dickies may revise, modify, or amend these SMS Terms and Conditions at any time. We will provide notice of any such revision, modification, or amendment through reasonable means, including but not limited to by email to any email address you provide or by text message to any telephone number you provide. Said revision, modification, or amendment shall not apply retroactively and will not be effective until seven (7) days after we provide notice. If you do not agree to the revision, modification, or amendment, you must opt ​​out of Dickies text messages within the 7-day notice period. If you do not opt ​​out, you will be considered to have accepted the revision, modification, or amendment.


Termination of Text Messaging


Dickies may suspend or terminate your receipt of Dickies text messages for any reason, including if Dickies believes you are in breach of these SMS Terms and Conditions. Your receipt of Dickies text messages is also subject to termination if your mobile telephone service terminates or lapses. Dickies reserves the right to modify or discontinue, temporarily or permanently, all or any part of Dickies text messages, with or without notice.


Communications and Consent to Electronic Notices


You may communicate with Dickies via postal mail, telephone, and our website. Dickies may issue notices via various channels, including by sending email to an address you provide. You agree that such notices shall have legal effect.


You also agree that notices sent by email satisfy any requirement that notices be provided in writing. If you do not agree, do not use Dickies products or services.


Your consent to receive electronic communications applies to this transaction and any future transaction that may arise out of this transaction. You may have the right to withdraw your consent to receive certain electronic communications, and when required by law, Dickies will provide you with paper copies upon request at no charge. You may make such a request via any of the channels listed above. If you withdraw your consent, Dickies reserves the right to terminate your use of Dickies products or services.


To receive, access, and retain the notices that Dickies sends via email, you must have Internet access and a computer or device with a compatible web browser. You will also need software capable of viewing files in PDF format. Your device or computer must have the ability to print, or download and store, emails and PDF files. By accepting these terms, you confirm that you can receive, access, and retain the notices that Dickies may send. 6. Changes.


(a) The Program is offered at the sole discretion of Dickies, which reserves the right to terminate, change, limit, modify, or cancel the Program (or any aspect thereof) at any time, with or without notice. In the event of cancellation, to the fullest extent permitted by law, any unused discounts and unused benefits accrued by a given business entity's Account as of the date of cancellation will be canceled and forfeited without compensation of any kind, with Dickies having no liability for Same under any legal theory.

(b) If authorized representative/owner decides to continue the business entity's membership in the Program after a change in these Terms, such decision constitutes the authorized representative's/owner's unconditional acceptance of the revised Terms on behalf of the corresponding business entity without any further consent . While Dickies may alert authorized representatives/owners of a change in the Terms, Dickies is in no way obligated to do so; And, refraining from sending any such notification does not create any liability for Dickies. Should Dickies choose to notify authorized representatives/owners of a change in these Terms and there is any inconsistency between the content of such notification and the revised version of the Terms, the revised Terms will, in all instances, supersede such notification. By way of example only, revisions to the Program may perhaps include limiting the availability of certain discounts and/or benefits as well as modifications to the Account creation procedure.


7. Termination, Cancellation


(a) Abuse of the Program may result in termination of business entity's participation in the Program, with cancellation of its Dickies For Business Account, disqualification from future enrollment in the Program (or any similar program offered by Dickies), and cancellation of unused discounts and forfeiture of unused benefits without compensation of any kind, with Dickies having no liability for the same under any legal theory. Dickies may also prosecute abuse of the Program to the fullest extent of the law. In addition to such remedial measures with respect to the business entity in question, Dickies may also pursue legal sanctions against the individual perpetrating the abusive conductor, to the fullest extent permitted by law. The following are examples of abuse of the Program:


(i) Repeated or egregious violation of the rules/restrictions governing the use of any discounts and/or benefits;


(ii) any attempt to receive/redeem discounts and/or benefits other than in compliance with these Terms;


(iii) fraud or tampering of any kind;


(iv) any misrepresentation of fact (including one's status as an authorized representative/owner or regarding the eligibility of a business entity to enroll in the Program); or


(v) other improper conduct of any kind.


(b) Authorized representative/owner may cancel business entity's Dickies For Business Account at any time by following the instructions on Dickies Website. Note that cancellation of a business entity's Program membership will result in cancellation of unused discounts and forfeiture of unused benefits without compensation of any kind, with Dickies having no liability for the same under any legal theory. If such business entity later decides to re-join the Program and Dickies accepts business entity's re-admission to the Program, such business entity will lose any unused discounts and unused benefits from their earlier, canceled membership.


8. General


(a) Any and all decisions of Dickies with regard to the Program are final and binding in all respects and not subject to appeal.


(b) The Terms of Use and Privacy Policy of the Dickies Website are made a part of these Terms and incorporated herein by reference. Should there be any inconsistency between these Terms and the Terms of Use of the Dickies Website, the Terms of Use of the Dickies Website shall prevail, govern and control in all respects; Should there be any inconsistency between these Terms and the Privacy Policy of the Dickies Website, the Privacy Policy shall prevail, govern and control in all respects.


(c) These Terms are void where prohibited by law.


(d) By registering their business entity for the Program, authorized representative/owner (on behalf of business entity and, to the extent applicable, themselves personally) releases Dickies, its parent and subsidiaries and affiliate entities and vendors, and their respective directors , officers, employees and agents (the "Released Parties") from all liability with respect to the receipt, acceptance, possession use or misuse of any discounts or benefits, against any and all claims, damages, losses, liabilities, and other expenses ( Including, without limitation, attorney's fees) relating to the business entity's participation/membership in the Program.


(e) The Released Parties make no warranty or condition, express or implied, including, but not limited to, any warranties or conditions of merchantability or fitness for a particular purpose with respect to the Program, including but not limited to membership in the Program and discounts or benefits available via the program.


(f) If any provision of these Terms is held to be illegal, invalid or unenforceable by a tribunal of competent jurisdiction, the illegal/invalid/unenforceable provision will be deemed severable from the Terms and will not affect the legality, validity and enforceability of the remaining provisions of these Terms.


(g) Any failure by Dickies to enforce any provision of these Terms in any given circumstance shall not constitute the waiver of such provision.
